Terms of Service

Effective date: July 27, 2026

Collaboration content marketing use begins: August 6, 2026

Article 1 (Purpose)

These terms govern the rights, obligations, responsibilities, conditions and procedures between PermissionLabs Inc. (the Company) and members in relation to OTI (Open To Influencer, the Service), operated by the Company.

Article 2 (Definitions)

1. ‘Service’ means the online service through which the Company connects overseas hotels and accommodations with creators (influencers) in Korea, receives and facilitates sponsorship campaign applications, and introduces hotel booking benefits through creator pages.

2. ‘Member’ means a person using the Service after signing in through social login provided by the Company (Google; any resumption of Kakao login will be announced) or an email authentication link. Members are classified as creator members or traveler members.

3. A hotel is an overseas hotel, accommodation provider or other partner that provides or is considering providing collaboration campaigns through the Service.

4. A collaboration campaign exchanges hotel-provided stays, discounts or other benefits for content created and published by members.

5. ‘Creator page’ means a public page operated by the Company to introduce booking benefits (‘deals’) at hotels where a creator member has completed a sponsorship collaboration. Deals from other creator members in the same region may also be featured.

6. ‘Promotion code’ means a discount or benefit code issued by a hotel for a deal and used by a member on the hotel's official booking page.

Article 3 (Effect and amendments)

1. These terms take effect when published on the Service.

2. The Company may amend these terms within the bounds of applicable law and will give advance notice stating the effective date and reasons for amendment.

Article 4 (Membership and accounts)

1. Membership is established when a user agrees to these Terms and the Privacy Policy through social login or email authentication link login provided by the Company.

2. Members may apply for collaborations after submitting their own social or channel information and passing the Company's creator review. The Company considers the published criteria, channel characteristics and content together, and notifies members of its decision by email.

3. Review criteria may change according to service operations. Updated criteria apply from the time they are posted on the review application screen.

4. Members may register their own blog, Instagram, YouTube or other channel information under one account and are responsible for its accuracy. The Company may withdraw approval if submitted information is false.

5. Members may not transfer or lend their accounts to others.

6. A member who joins while checking a promotion code on a creator page becomes a ‘traveler member’. Provisions on sponsorship applications, passes, creator tiers and roster publication (Article 4 paragraphs 2–4 and Articles 6, 6-2, 7, 8 and 9) do not apply to traveler members; Article 9-2 on creator pages and booking benefits does apply. Traveler members may switch to creator membership by following the instructions in the Service.

Article 5 (Service content and the Company's role)

1. The Company receives collaboration applications and facilitates matching, review and connections between members and hotels.

2. The Company is not a party to the collaboration agreement between a member and hotel. Collaboration terms, stays and content publication are performed according to the agreement between the member and hotel.

3. Receiving an application does not guarantee selection, which depends on review by the Company and hotel.

Article 6 (Collaboration applications and selection)

1. Standard stay applications specify a region and actual stay dates without choosing a hotel. Premium hotels require a separate application for a specific hotel. Applications already submitted under the former individual-hotel process retain the conditions that applied at submission.

2. When applying, members must submit social or channel links, content they can provide, preferred travel dates and other requested information, and agree to the required consents.

3. Review results and progress are communicated individually through the Service or by email.

Article 6-2 (Stay applications and final confirmation)

1. Applications cover one or two nights, with check-in at least 14 days after the application date in Korean Standard Time. Longer stays require separate applications. The hotel list is for reference and does not guarantee room availability or a successful match.

2. After the Company proposes the hotel, dates, benefits, member-paid costs and content requirements agreed with the hotel, the stay is confirmed only when the member finally accepts them on the website. Hotel response timing is not guaranteed. Withdrawn proposals or those whose check-in date has passed cannot be accepted.

3. Final acceptance closes other unconfirmed applications with overlapping stay nights according to the list shown in advance. A proposal overlapping another confirmed stay cannot be accepted.

4. Rejecting the initial proposal ends the application. A revised proposal for a confirmed stay takes effect only after renewed acceptance; rejecting the revision preserves the existing confirmed agreement.

5. Date changes after submission require contacting the Company. Dates may be difficult to change after final confirmation; cancellations are handled by the Company after coordination with the hotel. Members may cancel an application before confirmation.

6. Used application passes are not returned if matching fails, the member cancels, the initial proposal is rejected, or an overlapping application ends because another stay is confirmed.

Article 7 (Application passes)

1. Application passes are a means of using the Service to submit collaboration applications, provided as a single type. Each application uses one pass.

2. Passes are granted free of charge by the Company and are not purchased by members. They have no cash or property value, cannot be refunded, transferred or inherited, and cannot be traded between members.

3. Members receive 5 passes on joining. The balance subsequently resets to 5 on the first day of each month, Korean Standard Time. Unused passes expire without rolling over. Tier rewards and manual grants are also subject to the following month's reset.

4. Applications are reviewed in the order received. Using a pass does not guarantee selection or a successful collaboration.

5. Additional passes may be granted on tier advancement. Rewards for the same tier are granted only once.

6. If a member obtains or uses passes fraudulently, the Company may revoke the passes and cancel related applications.

7. The Company may end the Service or discontinue passes with advance notice. Because passes are granted free of charge, no separate compensation or refund will be provided.

8. The Company may introduce paid passes in the future, in which case it will separately establish and announce payment, withdrawal and refund terms in advance. Passes are not sold for payment when these terms take effect.

Article 8 (Creator tiers)

1. The Company assigns tiers (Explorer, Partner, Premium and Signature) based on members' completed collaborations.

2. A completed collaboration means the member has fulfilled the agreed stay and content publication, submitted links, and received confirmation from the Company. Campaigns not properly completed due to no-shows, missed deadlines or similar issues do not count.

3. Tiers do not decrease or expire. Signature is selected by the Company under separate criteria.

4. Tier benefits are described on the Service and may be changed by the Company with advance notice.

Article 9 (Public creator roster)

1. Members may optionally consent to publication of their profile (handle, display name, category, main channel, follower count, profile photo and featured content link) on public pages operated by the Company and in hotel proposals.

2. A roster profile is published only with the member's explicit consent. Members may withdraw consent at any time in My Profile, which immediately makes the profile private.

3. Contact details such as email addresses are not published.

4. The Company may make a profile private if it determines that false or inappropriate information has been posted.

5. Roster ordering follows tiers and other criteria set by the Company. No particular position is guaranteed.

Article 9-2 (Creator Pages and Booking Benefits)

1. The Company may publish deals from hotels where a creator member has completed a sponsorship collaboration on that member's creator page. The Company and the hotel determine whether and what to publish. Creator members can view their page URL and assigned deals in ‘My Profile’ in the Service.

2. Promotion codes are issued by hotels and displayed only to signed-in members. Discounts, conditions and validity periods are as shown on the deal page and may change or end without notice due to hotel circumstances.

3. Booking, payment, changes, cancellations and refunds take place on the hotel's official booking page under a contract between the member and the hotel. The Company is neither a party to nor an intermediary in that contract. Availability, rates and cancellation rules shown on the hotel's booking page take precedence.

4. For convenience, the Company may pass selected dates, guest counts and promotion codes to the hotel's booking page or display them, but does not guarantee that a code will be applied automatically. Members must check code application and rates before confirming a booking.

5. Affiliate disclosure: If a member books through a creator page, the Company may receive a performance-based commission from the hotel, part of which may be paid to the creator member as a reward. The hotel pays this commission to the Company; the Company does not charge it separately to the member.

6. To measure performance and settle accounts with hotels and creators, the Company processes records of deal views, promotion code views and visits to hotel booking pages in accordance with the Privacy Policy. Whether a booking was completed is confirmed using information provided by the hotel.

7. Members must not sell promotion codes or use them outside the conditions shown on the deal page. However, a creator member introducing an assigned code on their own channel is using it in line with the Service's purpose. If a violation is confirmed, the Company may terminate the code or restrict the member's use of the Service.

Article 10 (Members' obligations)

1. Members must provide accurate and truthful application information and warrant that submitted social and channel accounts belong to them.

2. Members must not misuse others' information, submit false information, disrupt the Service, or violate applicable law or public morals.

3. Members must not create multiple accounts to obtain pass or tier benefits, or register someone else's channel as their own.

4. Members bear any disadvantages and responsibility arising from submission of false information.

Article 11 (Content and intellectual property)

1. Members retain copyright in the content they create. The Company does not acquire rights beyond the scope of this Article.

2. The Company may use links and content information submitted by members for sponsorship matching, review and campaign operations.

3. Members must separately agree to the content use terms in this Article on the sponsorship application screen to apply. If a sponsorship is arranged, the member grants the Company a non-exclusive license to use photographs, videos, text and other content created and published for that campaign (“Sponsored Content”) to promote and market OTI's service and brand without an additional reuse fee.

4. The Company may reproduce, publish, transmit and display Sponsored Content on the OTI website, official social media, service introductions, portfolios and partnership proposals to hotels and brands. It may adjust dimensions, aspect ratio or length, use excerpts and add thumbnails, subtitles or the OTI logo for the publication medium, but will not edit content in ways that undermine the member's intent or reputation.

5. Any fee, use period or medium separately agreed for an individual sponsorship takes precedence. Otherwise, members may request that future use stop at support@permissionlabs.com. Within seven business days of confirming the request, the Company will remove existing posts from the OTI website and official social media and stop new publication and transmission. It is not obliged to recall printed materials or proposals already produced and distributed.

6. The Company does not transfer rights to use Sponsored Content to hotels, brands or other third parties. Uses beyond this Article, including paid advertising or reuse by third parties for their own marketing, require the member's separate consent.

7. Members must notify the Company in advance if third-party rights, such as music or likeness rights in Sponsored Content, require separate permission for the Company's use.

8. These provisions apply from August 6, 2026, when the revised Terms were announced in the service, and use of Sponsored Content under them begins on that date. Content created and published earlier is used only where the member explicitly agreed to the same scope in a prior agreement or individual message.

9. Intellectual property rights in the service and in screens and materials created by the Company belong to the Company.

Article 12 (Service changes and suspension)

The Company may change the service or suspend all or part of it for operational or technical reasons and will endeavor to provide advance notice.

Article 13 (Limitation of liability)

1. As an intermediary, the Company is not liable for disputes between members and hotels concerning sponsorship performance, quality or inconsistent conditions unless caused by the Company's willful misconduct or gross negligence.

2. The Company is not liable for losses due to force majeure, including natural disasters, causes attributable to members or failures of third-party services such as social login, hosting and email.

3. Unless there is intent or gross negligence on its part, the Company is not liable for losses caused to members by hotel circumstances, such as errors or changes to hotel booking pages, room shortages, rate changes, or promotion codes not applying or ending early.

Article 14 (Governing law and disputes)

These Terms are interpreted under the laws of the Republic of Korea. Disputes concerning use of the service fall under the jurisdiction of the competent court under the Korean Civil Procedure Act.

Supplementary provisions

1. These Terms take effect on July 27, 2026.

2. The revised Terms adding application passes, tiers and public creator rosters (Articles 7–9) take effect on July 28, 2026.

3. The amendment changing priority-pass response time from two to three business days (Article 7(4)) takes effect on August 1, 2026.

4. Article 11(3)–(8), concerning use of Sponsored Content for OTI marketing, applies from August 6, 2026.

5. The amendment changing basic passes from monthly accumulation (maximum balance 10, unused passes do not expire) to a reset to five passes on the first of each month (no carryover), under Article 7(3), takes effect on August 25, 2026. The first reset applies on September 1, 2026.

6. The amendment introducing creator review (Article 4(2)–(4)) takes effect on August 25, 2026. Members who joined before it took effect are considered approved.

7. The amendment unifying application passes (Article 7) takes effect on the day the unification notice is published. Existing basic and priority balances are combined 1:1. From the first day of the next month after unification, the total balance resets to five each month. Priority review and the promise of a progress update within three business days remain for applications submitted with priority passes before unification.

8. The revised terms concerning member classifications and login methods (Article 2 paragraph 2 and Article 4 paragraph 1), traveler members (Article 4 paragraph 6), creator pages and booking benefits (Article 2 paragraphs 5–6, Article 9-2 and Article 13 paragraph 3) take effect on September 9, 2026. Members who joined before that date are regarded as creator members.

9. The amendments on stay applications and final confirmation (Articles 6 and 6-2), and the exclusion for traveler accounts (Article 4(6)), take effect on September 9, 2026.

10. The amendment ending extra welcome passes (Article 7.3) applies from the day this notice is posted. Initial grants thereafter are 5 passes. Passes already granted will not be reclaimed, and the existing monthly reset rule remains in effect.
